Role Overview
An exciting opportunity has arisen for a Corporate Associate to join a fast-growing and highly regarded corporate team in Leeds. This role offers exposure to a broad range of high-quality corporate transactions, with a particular focus on mergers and acquisitions.
The successful candidate will join a nationally recognised team advising a diverse client base on a wide range of corporate matters.
This position would suit an ambitious lawyer looking to accelerate their career development while working on complex and high-value transactions alongside experienced corporate specialists. The role offers early client exposure and the opportunity to take on increasing levels of responsibility from the outset.
Candidate Profile / Experience Needed
Applications are welcomed from qualified Solicitors with between 2 and 4 years’ PQE and experience in corporate law, particularly M&A transactions.
Successful candidates will demonstrate:
- Experience advising on mergers, acquisitions and corporate transactions
- Strong technical legal skills and commercial awareness
- The ability to manage workstreams independently while contributing effectively as part of a wider team
- Excellent communication and client relationship skills
- Strong drafting and negotiation abilities
- Excellent attention to detail and organisational skills
- Experience providing pragmatic and commercially focused advice
- An understanding of client needs and expectations
- A proactive approach and willingness to learn
- Flexibility and the ability to work to transaction deadlines when required
Key Responsibilities
The successful candidate will have involvement in:
- Supporting and leading on mergers, acquisitions and disposal transactions
- Advising on the acquisition and disposal of businesses, assets and shares
- Assisting with public company transactions, including IPOs and equity fundraisings
- Managing and supporting due diligence exercises, data room reviews and disclosure processes
- Preparing and finalising disclosure letters and supporting documentation
- Assisting with investment documentation on private equity-backed transactions
- Drafting and negotiating ancillary transaction documents
- Advising on wider corporate matters including restructurings, shareholders’ agreements, joint ventures and LLP agreements
- Supporting business development initiatives, pitches and tenders
- Building and maintaining strong client relationships
- Working closely with colleagues across a national corporate practice on a variety of complex matters
